    Revisions to NCRS By-Laws 16 June 2023

    For those interested, a "stare and compare" seems to be the following changes: (Changed items in BOLD)





    Section 1: Executive Committee: The Executive Committee shall comprise the President, the Vice President, and the Financial Officer. The Executive Committee shall provide ongoing guidance, advice, and expertise as stewards to the Corporation. The Executive Committee shall be empowered with authority to make expedient decisions and employ professional assistance as deemed necessary. The Executive Committee members shall be empowered to sign any documents on behalf of the Corporation that the Executive Committee has deemed necessary pursuant to the NCRS Policy and Procedure Manual. All initiatives by the Executive Committee shall be reported to the NCRS Board of Directors.
    Section 2: Ad Hoc Committees: Ad hoc committees shall be created by the Board at its discretion and shall report directly to the Board. These committees shall be called upon to act in accordance to accomplish the committee's intended purpose.

    Except under extraordinary circumstances, an expelled member is not entitled to request a hearing for re-admission to the Club on any future date.




    Changed: ARTICLE XII - MEMBERSHIP MEETINGS
    12.1 The Annual Membership Meeting shall be held between June 1 and September 30each year at a time and place designated as part of the NCRS National Convention.
    Changed REGIONS 13.2: Some dates for printing notices of elections and nomination requests.


    Added to ARTICLE XV CHAPTERS


    15.6 A Chapter shall serve a specific Geographic Area, such as a portion of a state, whole state, or several states, with only one Chapter per specific Geographic Area. A Chapter may not have a Geographic Area larger than the area it can realistically be expected to serve. Each Chapter is part of a designated Region. No new NCRS Chapter shall be approved if the proposed new Chapter seeks to include a geographic area already included in the geographic area of an existing Chapter in good standing. If a new NCRS Chapter is proposed to include a geographic area already included in an existing NCRS Chapter, then the proposed new Chapter shall not be approved without the prior written consent of the existing Chapter in good standing.






    Struck ARTICLE XVII FINANCIAL POLICY


    17.4 The Board shall authorize a checking account for the Membership Services Manager and for any other person who has responsibility for disbursing monies. Each account must be operated in strict conformity with the provision in the NCRS PAP.

    18.2 All books and records of NCRS, with the exception of Board Executive Session Minutes, may be inspected by any Member, or his agent or attorney, for any appropriate purpose at any reasonable time upon giving of at least 48 hours advance notice.


    Added ARTICLE XIX POLICY GENERAL


    19.2 Conflict of Interest Policy - The Board shall adopt a Conflict-of-Interest Policy consistent with this Article. The Conflict-of- Interest Policy shall govern the conflict-of-interest resolution procedure. The Corporation's directors, officers, and employees shall comply with the Conflict- of-Interest Policy pursuant to the NCRS Policy and Accounting Procedures Manual.
    19.3 Code of Ethics Policy - The Board shall adopt a Code of Ethics consistent with this Article. The Corporation's directors, officers, and employees shall comply with the Code of Ethics pursuant to the NCRS Policy and Accounting Procedures Manual.
    19.4 Whistleblower Policy - The Board shall adopt a Whistleblower Policy consistent with this Article. The purpose of the Whistleblower Policy is to encourage the Corporation's employees to report unlawful, unethical, or improper activities in the workplace and to protect employees from retaliation for making any such report in good faith. The Corporation's directors, officers, and employees shall be required to comply with the Whistleblower Policy pursuant to the NCRS Policy and Accounting Procedures Manual.

    19.6 Privacy Policy - The Board shall adopt a Privacy Policy consistent with this Article. The Corporation's directors, officers, and employees shall comply with the Privacy Policy pursuant to the NCRS Policy and Accounting Procedures Manual.
